Due Diligence for Corporate Acquisition

A post-acquisition due diligence exercise on a portfolio of 21 sites (including one freehold).


The portfolio comprised a total of 127,000 sq ft with a rent roll of £1.25 million.


The purpose was to inspect both the properties and all legal documentation within the portfolio of properties and to report quickly with details of:- 


  • Any contingent liabilities arising from the properties 
  • Dilapidations issues 
  • Associated financial liabilities 
  • Break clauses allowing early termination of leases 
  • Upcoming rent reviews 
  • Associated budget figures
  • Vacant buildings still held on lease
  • Leases that had been assigned or sublet to other parties were also reviewed as possible contingent liabilities 
  • Initial view of building occupancy 
  • Initial views on more efficient usage of space 


This exercise therefore gave the acquirer full knowledge of the portfolio they had acquired, and any initial assessment of liabilities for accounts purposes as well as any key short term opportunities where Leases could be surrendered or integrated within the existing operational portfolio; and finally those freehold properties presenting development or higher value changeof use potential.
